concerns about ethics
Our Code of Conduct has a section about seeking advice and raising concerns
which provides various options for seeking advice within the Firm as well as how
to anonymously communicate concerns via the AlixPartners Integrity Line. Please
see page 9 of our Code of Conduct as well as the link to the Integrity Line.
102-18 Governance structure AlixPartners is a privately held partnership governed by its Board of Directors
which includes members of management and independent directors. The Board
of Directors must approve certain activities and transactions as detailed in our
Summary of Corporate Authority.
102-19 Delegating authority The Summary of Corporate Authority details activities and transactions that
require Board approval. In addition, the Firm has a Delegation of Authority that
stipulates approvals required to commit the Firm to an obligation and for
approving invoices.

Stefano Aversa, a Partner and Managing Director, Chair of AlixPartners EMEA and
Vice-Chair globally, is responsible for ESG outcomes.
Elton Ndoma-Ogar, a Partner and Managing Director, is the Head of

Cindy Godwin is the Head of Social Responsibility.

and its committees
The AlixPartners Board of Directors includes members of management as well as
non-management directors from our investor groups. The two committees of the
Board are the Audit Committee and the Compensation Committee, and both are
comprised of only non-management directors.

Designees from our Investor Groups comprise a majority of the Board. There
are also three Managing Directors (MDs)from AlixPartners on the Board which
includes our CEO, an MD that is appointed by the Board, and an MD that is elected
by the Firm's Managing Directors.
