The success of the carve-out transaction largely depends on effective control
of the planning and process being implemented by the project management
team from an early stage. External carve-out experts typically come into play
in situations where there is a lack of internal resource

When planning the TOM, it should be ensured that the post-closing structures
envisaged are realistic and feasible in line with the business plan. It will be
important to ensure that the carve-out is structured in such a way as to avoid
any adverse impact on the seller group, and complex transitional structures
that extend beyond "day one" readiness should be limited
